bleh, so i fixed it... basically uninstalled BitDefender 10.... Company of heroes now works without crashing, Rome doesnt crash... and i could even run fable (what i couldnt before)

Let me begin by saying that I don't have this game, so filter what I tell you accordingly.
"ntdll.dll" is a Windows file in your Windows\system32 folder. I doubt that there is any problem with the file itself, or you would be having other issues beyond the trouble this game is giving you. The first thing that comes to mind is there is some sort of mismatch between the version of Windows you're using, the version of Company of Heroes, and, possibly, the V1.4 patch in terms of language.
I wouldn't think that you would upgrade a game with a different patch, language-wise, than the game itself, but are they a match for your Windows version? Or, possibly, the version of the ntdll.dll file the game is expecting isn't what your Windows installation is providing; it may be a file that has been changed through a Windows Update that you haven't yet applied. I can tell you that this particular Dynamic Link Library has been involved in a Windows Update revision or two.
What happens when you leave the game unpatched? Or, patch it just to V1.3? I understand there are some hardware issues that are corrected from the initial release version by means of patches, but it would be interesting to see if you could progress through the game at a lesser revision.
I'm guessing THQ has some sort of Forum for it's games; I would research that possibility and see if anyone else has this problem and if there is a workaround for it.
Finally, there is the time-honored response for all PC game problems. (And, it isn't, "buy an Xbox.") Rather, simply reinstall the game.
